Worth stressing that the deal could still close any day. Oct is a worst-case scenario but ideally MS will close in the next few weeks to avoid adding to the breakup fee.

At least we can put to rest any concerns of Activision walking away, however ridiculous they were.

Personally I don't think this goes past August though, and might not even take that long.

They're really not, long-term. The biggest reason they're selling is they recognize games are getting more complicated and taking longer to make, one of these years they're gonna slip up and not ship a CoD. It almost happened this year. And when that happens, it's gonna be a calamity for them.
Well, after the extension they REALLY want to sell. You guys were right.

The Parties hereby agree that, effective from and after October 18, 2023, Parent and its Affiliates shall pay to the Company 100% of all proceeds or other payments for games of the Company and its Affiliates (without deduction for amounts that would otherwise be retained by Parent or its Affiliates) and the Company shall be entitled to offset any payments owed to the gaming business of Parent or its Affiliates pursuant to the existing agreements between the Company or its Affiliates and Parent or its Affiliates, on a combined basis, in an amount up to $250,000,000 for each of the 12-month periods ending December 31, 2023 and December 31, 2024 (for an aggregate amount up to $500,000,000). Payments are due quarterly within 30 days of the conclusion of each calendar quarter. To the extent that the aggregate payments paid and offset in accordance with the foregoing are less than $250,000,000 in aggregate for any 12-month period, Parent shall pay the difference to the Company in cash within 30 days of the conclusion of such 12-month period. In addition, the Parties acknowledge Item 2 on Annex A of this Letter.
Can someone explain this affirmation at the bottom of page 3?

Am I missing something, or is the increased net cash balance more than making up for the $1 dividend payment? LT debt stayed the same and cash/ST investments increased by roughly $1B from the end of 2022. And shares outstanding are ~750MM. So it would seem as if they're effectively paying $94.75 instead of $96?

Obviously everything is corporate speak. They're not saying there will not be any single exclusive products as a result of it. It's totally in line with what they've been saying since the announcement of the acquisition, however.

Their pitch was that since they will not be removing cod from Playstation, and they 2ill be bringing call of duty to Nintendo and Cloud gamers, that the overall impact of the deal will be more games for more players. Numerically, this is probably true.
